Introduction

These Terms of Service ("Terms") and our Privacy Policy, constitute the entire agreement ("Agreement") between Langbase, Inc. ("Company", "We", "Our", "Us") and you ("You", "User"). These Terms govern your use of our website and services available at commandcode.ai (collectively, the "Service").

The following terms apply to these Terms of Service: "Client", "You", and "Your" refer to the person accessing this website and agreeing to the company's terms. "The Company", "We", "Our", and "Us" refer to our company. "Party" or "Parties" refers to both the client and us, or either individually. "Content" includes all information, data, text, images, videos, software, and other materials available through our service or website, including intellectual property such as copyrights, trademarks, and patents. These terms cover the offer, acceptance, and payment necessary for us to assist the client in providing the company's services in compliance with applicable laws.

By (a) purchasing access to the service through an online ordering process that references this agreement, (b) signing up for a free plan through a screen that references this agreement, or (c) clicking a box indicating acceptance, you agree to be bound by these terms. If you do not agree to or cannot comply with this agreement, you may not use the service. Please read these terms carefully.

Age and Eligibility

The service is intended for individuals who are at least eighteen (18) years old. By accessing or using the company's services, you represent and warrant that you are at least eighteen (18) years of age and possess the full authority, right, and capacity to enter into this agreement and comply with all its terms and conditions. If you are under eighteen (18) years old, you are not permitted to access or use the service.

Accounts

When creating an account with us, you affirm that you are at least 18 years old and that the information you provide is accurate, complete, and up-to-date. Failure to provide accurate and current information may lead to the immediate suspension or termination of your account.

You are responsible for keeping your account credentials, including your password, confidential. This includes limiting access to your computer and account. You agree to take full responsibility for any activities or actions that occur under your account or password, whether associated with our service or a third-party service. If you become aware of any security breaches or unauthorized use of your account, you must notify us immediately.

You may not use a username that belongs to another person or entity, or one that is not legally available for use, including any names or trademarks protected by the rights of others, without proper authorization. Additionally, usernames must not be offensive, vulgar, or obscene.

We reserve the right to refuse service, terminate accounts, modify or remove content, or cancel orders at our sole discretion.

Temporary Use License

For the duration of your authorized use of the services and contingent upon your adherence to the terms of this agreement, you are granted a personal, non-sublicensable, non-exclusive, non-transferable, limited license to use the services for your internal business or personal purposes, in accordance with your account's service capacity. All rights not expressly granted herein are reserved, and no license or right to use any trademarks of Langbase or any third party is granted to you in connection with the services.

Communications

By creating an account on our service, you agree to receive newsletters, marketing materials, promotional content, and other communications from us. However, you may opt out of receiving any or all of these communications by following the unsubscribe link or by contacting us via email.

By using the services, you consent to receiving electronic communications from Langbase. These communications may include notices about applicable service fees, charges, transactional information, and other details related to the services. Some of these communications may require your response or action to avoid service interruptions. These electronic communications are an integral part of your relationship with Langbase and are provided as part of your use of the services. It is your responsibility to ensure that your account email address is kept current and that a responsive user is available at all times. You agree that any notices, agreements, disclosures, or other communications sent by Langbase electronically will satisfy any legal requirements for communication, including those requiring that such communications be in writing.

Content

Our service allows you to post, link, store, share, and otherwise make available various types of information, text, graphics, videos, or other materials ("Content"). You are solely responsible for the content you post on or through the service, including its legality, reliability, and appropriateness.

By posting content on or through the service, you represent and warrant that: (i) the content is either owned by you or you have the necessary rights to use it and grant us the rights and licenses described in these terms, and (ii) your content does not infringe upon the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity. We reserve the right to terminate the accounts of users found to be infringing on copyrights.

You retain all rights to any content you submit, post, or display on or through the service, and you are responsible for protecting those rights. We do not assume responsibility or liability for any content posted by you or any third party on or through the service. However, by posting content via the service, you grant us a license to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through the service. This license also allows us to make your content available to other users of the service, who may use your content in accordance with these terms.

Langbase, Inc. reserves the right, but is not obligated, to monitor and edit any content provided by users.

Payment of Fees

Payments

All payments must be made in U.S. dollars and within the United States. You are responsible for paying all applicable taxes, duties, withholdings, and similar charges. If Langbase is legally required to pay or collect such taxes, you will pay the appropriate amount directly to Langbase. Langbase reserves the right to modify its fees and payment terms at its discretion; however, such changes will not take effect for you until the start of the next payment period. Your continued use of the services after the price change takes effect constitutes your agreement to pay the revised amount.

Previews

Langbase may choose to offer certain previews from time to time. These previews are provided "AS-IS," "WITH ALL FAULTS," and "AS AVAILABLE." LLMs may make mistakes, Langbase's warranties and indemnities do not apply to previews, and no support services are provided for them. Langbase reserves the right to modify, discontinue, or terminate your access to previews at any time without notice. The term "previews" refers to services, releases, features, or functionality provided for preview, pre-release, evaluation, demonstration, beta, or similar purposes.

Generative AI Models and Limitations

Generative AI models, like the one you are interacting with, strive to be helpful and informative. However, they can occasionally produce responses that are incorrect, misleading, or not grounded in fact. This phenomenon is often referred to as "hallucinating" information. It is a known limitation of current AI technology.

Users should exercise caution and not rely solely on AI-generated content for high-stakes decisions or critical advice. It is always advisable to verify information through additional reliable sources.

Acceptable Use

Your use of Langbase's services, including participation in any community or discussion forums, is governed by the following rules:

• The services may only be used in compliance with applicable laws.
• You must not compromise the security or integrity of Langbase's systems or networks, nor attempt unauthorized access to any such systems or networks.
• You are prohibited from using the services to facilitate or promote the sale or distribution of illegal goods and services.
• Automated tools, such as bots or scripts, must not be used to create multiple accounts, perform automated searches or requests, or extract data from Langbase's website.
• You must adhere to Langbase's usage guidelines and limits. Creating multiple accounts to circumvent these restrictions is prohibited.
• The services must not be used to send unsolicited messages (spam), create spammy content, or engage in clickbait or click fraud activities.
• You are not permitted to use the services for creating or distributing synthetic media ("deepfakes") that promote illegal activities.
• You must not use the services to replicate the functionality of Langbase or its storage products.
• You may not rent, lease, sell, or transfer access to Langbase's website, software, or documentation to a third party.
• You must not interfere with or disrupt the services or impose an undue burden on Langbase's website or related networks.

Langbase reserves the right to determine whether an account is in violation of these terms. Violations may result in the termination of your access to Langbase's services and the removal of your projects and deployments.

Etiquette

In addition to complying with the terms of this agreement, you must not use the services for, or link to, any content that Langbase deems objectionable, abusive, profane, or promoting hate speech or any illegal activities. You agree to indemnify and hold Langbase harmless against any claims arising from your use of the services in violation of these terms. Although Langbase is not obligated to monitor your use, it may do so using tools that detect patterns of abuse. Langbase reserves the right to disable or terminate the services if it identifies any content that violates this agreement.

Security and Compliance

General

You are responsible for configuring your projects to ensure compliance with applicable laws, including obtaining proper consent for personal data transmission and storage. You must also configure the services in accordance with the documentation and implement appropriate encryption. Langbase will not be liable for unauthorized access, loss, or corruption of your content due to your misconfigurations, malware, or security vulnerabilities.

PCI Compliance

Langbase is not a payment processor. If your content or data is subject to the Payment Card Industry Data Security Standards (PCI DSS), you are responsible for ensuring compliance with PCI DSS requirements.

Usage Restrictions

You agree not to:

• Sublicense, resell, rent, lease, transfer, or assign the services to any third party.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services.
• Modify, translate, or create derivative works based on the services without authorization.
• Use the services for time sharing or service bureau purposes or for the benefit of a third party.
• Remove, alter, or obscure any proprietary notices or labels on the services or documentation.
• Violate any applicable laws or regulations or infringe on the rights of any third party while using the services.
• Engage in activities that violate Langbase's policies or codes of conduct.

Langbase may set general practices and limits on the use of the services, including data retention, storage space, compute capacity, and data transfer limits. Langbase reserves the right to change these practices at any time.

Intellectual Property

The service, including its original content (excluding user content), features, and functionality, is the exclusive property of Langbase, Inc. and its licensors. The service is protected by copyright, trademark, and other intellectual property laws in the United States and internationally. The trademarks and trade address of Langbase, Inc. may not be used in connection with any product or service without prior written consent.

Confidentiality

The receiving party acknowledges that the disclosing party has provided or may provide proprietary business, technical, product, or financial information ("Proprietary Information"). For Langbase, this includes non-public details about the services' features, functionality, and performance. Your proprietary information includes non-public personal data provided to Langbase or uploaded to the services ("Your Data"). The receiving party agrees to: (i) protect such proprietary information with reasonable precautions, and (ii) use it solely for the performance of the services or as permitted, and not disclose it to any third party.

Company Ownership

Langbase retains all rights, title, and interest in the services, including any improvements, enhancements, or modifications, and all related intellectual property rights.

Copyright Policy

We respect the intellectual property rights of others and have established a policy to address claims of copyright infringement or other intellectual property violations ("Infringement"). If you are a copyright owner or authorized representative and believe that content on the service infringes upon your copyright, please send your claim via email to support@commandcode.ai with the subject line "Copyright Infringement." Your claim should include a detailed description of the alleged Infringement.

DMCA Notice and Procedure for Copyright Infringement Claims

To submit a notice under the Digital Millennium Copyright Act (DMCA), please provide our Copyright Agent with the following information in writing:

• An electronic or physical signature of the person authorized to act on behalf of the copyright owner;
• A description of the copyrighted work that you claim has been infringed, including the URL or a copy of the work;
• Identification of the URL or specific location on the service where the infringing material is found;
• Your address, telephone number, and email address;
• A statement that you believe in good faith that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

Error Reporting and Feedback

You may provide us with information and feedback about errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our service ("Feedback") either directly at support@commandcode.ai or through third-party sites and tools. By providing feedback, you acknowledge and agree that: (i) you do not retain or assert any intellectual property rights or interests in the feedback; (ii) the company may have development ideas similar to the feedback; (iii) the feedback does not contain confidential or proprietary information from you or any third party; and (iv) the company is not obligated to maintain confidentiality regarding the feedback.

Third-party Links

Our service may include links to third-party websites or services that are not owned or controlled by Langbase, Inc.

Langbase, Inc. does not control and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not endorse or make any representations regarding the offerings of these external entities or their websites.

You acknowledge and agree that Langbase, Inc. is not liable for any damage or loss, whether direct or indirect, resulting from or alleged to result from the use of or reliance on any content, goods, or services available through third-party websites or services.

We strongly recommend reviewing the terms of service and privacy policies of any third-party websites or services you visit.

Term and Termination

Term

This agreement begins upon your acceptance and continues as long as the services are provided. Subscriptions, and any additional services automatically renew for terms equal to the initial term unless canceled prior to renewal. You may terminate or downgrade your account by sending a request to Langbase Support, effective at the next renewal period. Langbase may terminate this agreement with thirty (30) days' notice to your account's administrative email or immediately with ten (10) days' notice (or two (2) days for nonpayment) if there is a breach.

Survival

Terms that naturally survive termination will remain in effect, including sections on payment rights, confidentiality, warranty disclaimers, and liability limitations.

Effect of Termination

Upon termination: (i) licenses to the services end, and use must cease; (ii) support services will stop; (iii) outstanding fees must be paid; and (iv) within fourteen (14) days, both parties must return or destroy each other's proprietary information, retaining only one archival copy for compliance purposes.

Disclaimer

The services are provided "as is." Langbase disclaims all warranties, both express and implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Langbase does not guarantee that the services or deliverables will be uninterrupted or error-free, nor does it warrant any specific results from their use.

Indemnification

You agree to defend, indemnify, and hold harmless Langbase, Inc. and its licensees, licensors, employees, contractors, agents, officers, and directors from any claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees) arising from: (a) your use of and access to the service; (b) your violation of any term of these terms; (c) your violation of any third-party rights, including intellectual property rights and privacy rights; or (d) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these terms and your use of the service.

Limitation of Liability

To the maximum extent permitted by law, Langbase, Inc. and its directors, employees, partners, agents, suppliers, or affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising from: (i) your access to or use of (or inability to access or use) the service; (ii) any conduct or content of any third party on the service; (iii) content obtained from the service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether we have been informed of the possibility of such damage.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability for incidental or consequential damages. Therefore, some of the limitations above may not apply to you. In these jurisdictions, Langbase, Inc.'s liability will be limited to the maximum extent permitted by law.

Governing Law

These terms are governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. If any provision of these terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These terms constitute the entire agreement between us regarding our service, and supersede any prior agreements we might have had.

Changes

We reserve the right to modify or replace these terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change is determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the service.
