Overview and Acceptance

MoonPay Hackathons is a recurring series of monthly developer challenges hosted, organized, and sponsored by Launchpad Limited, a British Virgin Islands business company ("Launchpad," "Sponsor," "we," or "us"). Each installment is a "Chapter." The applicable Chapter Details page will state the mission, timeline, submission requirements, judging criteria, and prizes or other rewards for that Chapter.

“Affiliate” means any entity that controls, is controlled by, or is under common control with Launchpad or MoonPay Inc, a Delaware corporation.

“MoonPay Group” means MoonPay and its Affiliates. Launchpad is a member of the MoonPay Group.

“MoonPay Products” means any product, platform, service, API, protocol, or marketplace offered by any MoonPay Group member, now or in the future.

“Featured Product” means the MoonPay Product(s) that are the subject of a Chapter, as identified in the applicable Chapter Details.

These Terms and Conditions (these "Terms") govern participation in the MoonPay Hackathons program and each Chapter. The Chapter Details page for the applicable Chapter is incorporated by reference. These Terms prevail over any conflicting Chapter Details unless the applicable Chapter Details expressly state otherwise.

By registering for or submitting a project ("Submission") to any Chapter, you ("Participant," "you") agree to be bound by these Terms and the applicable Chapter Details. If you do not agree, do not participate.

Chapters and Featured Products

Each Chapter may focus on one or more Featured Products and may be run with the MoonPay Group member that operates them. Features, integrations, documentation, and available functionality may vary by Featured Product and Chapter and may be subject to additional terms and documentation.

Eligibility

To be eligible to participate, each Participant must satisfy all of the following requirements:

Age: Participants must be at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is greater, at the time of entry.

Relevant Product Account: Participants must create and fully complete all required account setup and onboarding steps of the relevant product for the applicable Featured Product(s) before Submission.

Sanctions/Embargoes: Participants must not be located in, ordinarily resident in, or a national of any jurisdiction subject to comprehensive U.S., EU, or UN sanctions or trade embargoes; and must not be named on any applicable sanctions or restricted-party list (including the OFAC SDN List, EU Consolidated List, and UN Security Council Consolidated List).

Void Where Prohibited: This program is void where prohibited or restricted by applicable law or regulation. Compliance with all applicable local, state, national, and international laws is the Participant's sole responsibility.

Ineligible Persons: Employees, officers, directors, and contractors of Launchpad and each MoonPay Group member, as well as the prize funders and partners for the applicable Chapter, and the immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members of any such person, are not eligible to participate.

Individual Participation: The program is open to individuals only.

Participants represent and warrant that the information provided during registration is accurate, current, and complete.

Launchpad reserves the right to verify eligibility at any time and to disqualify any Participant who does not meet these requirements.

How to Enter

There is no fee to enter. Internet access is required to participate in the program.

Registration

Register through the official program or the landing page of the applicable Chapter, and complete all required account setup and onboarding steps for the applicable Featured Product(s).

Submission Period

Each Chapter’s opening date and submission deadline will be stated in the applicable Chapter Details. Late Submissions will not be accepted unless the Chapter Details state otherwise.

Submission Limit

Any limit on the number of Submissions per Participant will be stated in the applicable Chapter Details.

Submission Process

All Submissions must be received through the official submission process described in the applicable Chapter Details. Sponsor is not responsible for lost, late, misdirected, incomplete, or unintelligible Submissions.

Submission Requirements

Submission requirements are Chapter-specific and will be stated in the applicable Chapter Details. A Submission must satisfy those requirements to be eligible for judging or any prize or reward.

General Requirements

Original Work

The Submission must be the Participant's original work, except that pre-existing materials may be incorporated if the Participant has all necessary rights and discloses any material pre-existing components as required by the applicable Chapter Details.

Third-Party Components

Participants are responsible for ensuring they have all necessary rights, licenses, and permissions to use any third-party code, libraries, APIs, data, or content incorporated in their Submission, and must comply with all applicable open-source license terms.

Prohibited Content

Submissions must not contain any:

malicious code, malware, or intentional security vulnerabilities;

code that exploits, exfiltrates, or misuses user credentials, wallet keys, or secrets stored in any or used with any MoonPay Product;

content that is unlawful, defamatory, obscene, or that infringes any third party's intellectual property or other rights;

unauthorized access to, or testing against, any other Participant's or user's account or data.

Compliance

Submissions must comply with the applicable Featured Product developer terms, API terms, the applicable Chapter Details, and all applicable documentation for the relevant Featured Product(s).

Responsible Disclosure

If a Participant discovers any security vulnerability in a Featured Product, any other MoonPay Product, or Launchpad’s or any MoonPay Group member’s systems during participation in the program, the Participant must promptly and privately disclose the vulnerability to MoonPay at [[email protected]] and must not exploit, publicize, or disclose the vulnerability to any third party.

Judging

Judging Panel

Submissions will be evaluated by a panel of judges selected by Launchpad in its sole discretion (the "Judging Panel"). The composition of the Judging Panel may be announced before or during the judging period.

Judging Criteria

Submissions will be evaluated under the judging criteria stated in the applicable Chapter Details. Launchpad may consider the quality, completeness, compliance, creativity, usefulness, technical execution, or other factors identified for that Chapter.

Contest of Skill

This is a contest of skill. Chance plays no role in the selection of winners.

Tie-Breaker

Any tie-breaker will be determined under the applicable Chapter Details or, if none is stated, by the Judging Panel in its sole discretion.

Decisions Final

All decisions of the Judging Panel are final and binding. No correspondence or appeals will be entertained.

Right to Decline

MoonPay reserves the right, in its sole discretion, not to award any prize or reward or to award fewer prizes or rewards than described if there is an insufficient number of eligible, qualifying Submissions of adequate quality.

Prizes

Prizes and Rewards

The applicable Chapter Details will describe the prizes or other rewards available for that Chapter. Prizes or rewards may include digital assets or stablecoins, cash, credits, products, services, access, or other benefits. They may be provided by Launchpad, a MoonPay Group member, or third parties and may be subject to additional terms, including third-party terms, eligibility requirements, availability, expiration dates, and taxes. Launchpad may modify, substitute, reduce, or decline to award any prize or reward.

Delivery

Prize or reward delivery may be made in the form and through the method stated in the applicable Chapter Details or otherwise selected by Launchpad. Digital asset or stablecoin prizes may be subject to value fluctuation, network fees, failed or misdirected transactions, wallet errors, and other digital asset risks. Launchpad has no obligation to re-send or replace a prize payment once a transaction has been confirmed onchain.

General Prize Terms

Non-Transferable

Prizes and rewards are non-transferable and may not be assigned.

No Substitution

Launchpad may substitute a prize or reward with another item or benefit of comparable value, or modify or decline to provide it, if the stated prize or reward becomes unavailable or for another reason permitted by these Terms.

Taxes

All federal, state, local, and foreign taxes, duties, and fees on prizes or rewards are the sole responsibility of the recipient. Launchpad may require the recipient to complete and submit tax forms as a condition of payment or delivery. Failure to provide required tax documentation within five (5) business days of request may result in forfeiture.

Approximate Retail Values

Any approximate retail values or other stated values are estimates only and do not guarantee actual market value. No difference between an estimated and actual value will be awarded.

Prize Conditions and Winner Verification

Each potential winner must, within five (5) business days of notification:

respond to Sponsor's winner notification;

complete and pass MoonPay's then-current KYC, AML, and sanctions screening before receiving any prize or reward, even if the Participant was previously verified; re-verification may be required to confirm continued eligibility at the time of fulfillment;

execute and return an affidavit of eligibility and liability/publicity release, where lawful and not prohibited.

If a potential winner fails to respond within the required period, fails verification, is found to be ineligible, declines the prize or reward, or cannot be contacted after reasonable efforts, the prize or reward will be forfeited and Sponsor may, in its sole discretion, award it to another eligible Submission.

Intellectual Property

Ownership

Participants retain all right, title, and interest in and to their Submissions, subject to the license granted herein.

License to Launchpad and MoonPay Group

By submitting, Participants grant Launchpad and each MoonPay Group member a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, display, perform, distribute, and create derivative works of the Submission and to use the Participant's name, likeness, photograph, social-media handle, and biographical information, in each case solely for administering, judging, and promoting the applicable Chapter, the program, and the MoonPay Group's products and services.

Feedback

Any feedback, suggestions, or ideas that a Participant provides to Launchpad or any MoonPay Group member in connection with the program may be freely used by Launchpad and each MoonPay Group member without compensation or attribution.

Independent Development

Launchpad and any MoonPay Group member may independently develop products, features, or services that are similar to or competitive with any Submission. Nothing in these Terms restricts Lauhnchpad’s or any MoonPay Group member's right to do so.

MoonPay Marks

Participants acquire no rights in or to any Launchpad, MoonPay, or MoonPay Group member trademarks, service marks, logos, or trade names, except as expressly permitted in MoonPay's brand guidelines or with prior written consent.

Product Listing, Integration, and Distribution

Submitting, winning, or placing in any Chapter confers no right or entitlement to have a Submission or any related product or service listed, integrated, featured, promoted, ranked, distributed, or maintained in any MoonPay Product or marketplace.

The applicable MoonPay Group member has sole discretion, and may decline, delay, condition, suspend, remove, or delist any Submission or related product or service from any MoonPay Product or marketplace at any time, for any reason or for no reason, including concerns related to security, regulatory compliance, quality assurance, user safety, or strategic fit.

Any decision regarding listing, integration, featuring, promotion, ranking, distribution, or removal does not affect the Participant's eligibility for or entitlement to prizes or rewards under these Terms, unless the Submission is found to have breached these Terms.

Any listing, integration, featuring, or distribution is subject to separate agreements and applicable MoonPay Group member’s review processes, including any security audit, code review, or compliance assessment that the applicable MoonPay Group member may require.

Launchpad, MoonPay, and the MoonPay Group members make no representation or guarantee regarding the timing, duration, placement, or commercial success of any listing, integration, featuring, or distribution.

Publicity and Privacy

Publicity

Except where prohibited by law, acceptance of a prize or reward constitutes the recipient’s consent to Launchpad's and each MoonPay Group member’s use of the recipient’s name, likeness, photograph, social-media handle, Submission, and statements for promotional and advertising purposes in any media, worldwide, without additional compensation.

Privacy

Personal information collected in connection with the program, including KYC data, may be collected, used, processed, and shared among Launchpad and MoonPay Group members to administer the program, in accordance with MoonPay's Global Privacy Policy, available at https://www.moonpay.com/legal/privacy_policy. By participating, you consent to the collection, use, processing, and sharing of your personal information as described therein and as necessary to administer the program.

Disqualification

Launchpad reserves the right, in its sole discretion, to disqualify and ban from current and future Chapters any Participant who Launchpad believes:

has attempted to tamper with or undermine the legitimate operation of the program or applicable Chapter;

has violated these Terms or any applicable law, regulation, or third-party terms of service;

has engaged in conduct that is fraudulent, deceptive, dishonest, abusive, or harassing;

has attempted to gain an unfair advantage through any means, including but not limited to collusion, plagiarism, or automated or AI-generated Submissions presented as the Participant's own original work without meaningful human contribution;

has acted in a manner that is unsportsmanlike or not in the spirit of the program or applicable Chapter;

has exploited, exfiltrated, or misused any credentials, wallet keys, secrets, or data in any MoonPay Product.

Any disqualification decision is final and not subject to appeal.

Modifications, Suspension, and Cancellation

Launchpad reserves the right to cancel, suspend, postpone, or modify these Terms, the program, or any Chapter, at any time, for any reason, including fraud, technical failures, force majeure, or any event that impairs the integrity or proper administration of the program or Chapter.

In the event of cancellation or material modification, Launchpad will make reasonable efforts to notify registered Participants via the email address provided during registration.

Launchpad may, in its sole discretion, adjust, substitute, suspend, or decline to award any prize or reward before or after a Chapter, subject to applicable law.

Disclaimers and Limitation of Liability

No Warranties

The program, ANY FEATURED PRODUCT, ANY MOONPAY PRODUCT OR MARKETPLACE, all prizes and rewards, and all related services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall LAUNCHPAD, MoonPay, ANY MOONPAY GROUP MEMBER, OR ANY OF their respective affiliates, officers, directors, employees, contractors, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to: (a) participation in or inability to participate in the program or any Chapter; (b) any Submission; (c) any prize or reward or the use thereof; or (d) these Terms; whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if launchpad, MoonPay, or a moonpay group member has been advised of the possibility of such damages. the total aggregate liability of launchpad and the moonpay group arising out of or relating to these Terms and the program shall not exceed the amount of the prize or reward pool, if any, for the applicable Chapter.

Acknowledgment

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by applicable law.

Release and Indemnification

Release

By participating, each Participant releases and holds harmless Launchpad, MoonPay, each MoonPay Group member, and their respective Affiliates, officers, directors, employees, agents, partners (including prize funders and technology partners), and licensors (collectively, "Released Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) participation in the program or any Chapter; (b) acceptance, use, or misuse of any prize or reward; (c) the Participant's Submission or any use thereof; (d) any violation of these Terms; or (e) any violation of applicable law or any third party's rights.

Indemnification

Each Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to the Participant's Submission, participation in the program or any Chapter, or breach of these Terms.

General Provisions

Force Majeure

Launchpad and each MoonPay Group member shall not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, government actions, blockchain network congestion or failure, cyberattacks, power failures, or internet or telecommunications infrastructure failures.

Regulatory Disclaimer

Nothing in these Terms or in any Submission constitutes financial, investment, tax, or legal advice. Participants are solely responsible for ensuring that their Submissions and participation comply with all applicable laws, regulations, and third-party terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms, the program, or any Chapter shall be resolved by binding, confidential arbitration administered by BVI International Arbitration Centre (BVI IAC) under its Arbitration Rules then in force. The seat of arbitration shall be Road Town, Tortola, British Virgin Islands; there shall be one arbitrator; and the language of the arbitration shall be English. To the extent permitted by applicable law, each party waives any right to participate in a class or collective action arising out of or relating to these Terms, the program, or any Chapter. The arbitral award shall be final and binding on the parties and may be entered and enforced in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek interim or injunctive relief from a court of competent jurisdiction.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with the applicable Chapter Details, constitute the entire agreement between Launchpad and each Participant with respect to the program and applicable Chapter and supersede all prior or contemporaneous understandings, agreements, representations, and warranties. The applicable Chapter Details are incorporated by reference. These Terms prevail over conflicting Chapter Details unless the applicable Chapter Details expressly state otherwise. In the event of any conflict between these Terms or Chapter Details and any marketing copy, landing page, blog post, social-media communication, or other promotional material, these Terms and the applicable Chapter Details control.

No Affiliation

The program is in no way sponsored, endorsed, or administered by, or associated with, X Corp. (formerly, “Twitter”), GitHub, Inc., or any blockchain network or protocol. All trademarks are the property of their respective owners.

Waiver

The failure of Launchpad to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
